For brands
Terms of service.
1. Parties and scope
These terms of service (the “Terms”) apply to all services provided under the Aster brand by JHP Consulting FZ-LLC, FOAM1976 Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, CIF 015752234 (“Aster”) to any professional client (the “Client”). They apply to every proposal, quote and order and prevail over the Client’s own terms, unless otherwise agreed in writing. Services are intended for businesses only; the Client acts for professional purposes.
2. Services
Aster provides influence marketing services: strategy, creative ideas, talent sourcing and casting, coordination with talents or their representatives, campaign management and reporting (the “Services”). The exact scope, deliverables, talents, platforms, schedule and fee are set out in a written proposal or statement of work (the “Proposal”). Anything not listed in the Proposal is excluded and may be quoted separately.
3. Formation of the contract
The contract is formed when the Client accepts the Proposal in writing (signature, email or electronic acceptance) and pays any deposit due. Proposals are valid for 15 days unless stated otherwise. Talent availability and fees are confirmed only upon booking.
4. Flat fee — obligation of means
Services are billed on a flat-fee basis, as stated in the Proposal. Fees are not indexed to sales, sign-ups, downloads, deposits or any other performance. Objectives and KPIs agreed with the Client are targets used to steer and measure the campaign; they are not guaranteed results. Aster undertakes an obligation of means (best efforts), not an obligation of result. Audience figures provided are indicative.
5. Fees and payment
Unless otherwise stated in the Proposal: 50% of the fee is payable upon acceptance and the balance before the first publication; for campaigns under a total of EUR/USD 10,000, 100% is payable upon acceptance. Amounts are exclusive of taxes, which are added where applicable (including UAE VAT). Bank, transfer and currency fees are borne by the Client. Late payment automatically incurs interest at 1.5% per month, plus recovery costs, and entitles Aster to suspend the Services and any publication until full payment. Talent fees and third-party costs paid on the Client’s behalf are non-refundable once committed.
6. Client obligations
The Client shall: provide accurate briefs, materials and approvals on time; designate a decision-maker; ensure that its products, services, offers and claims are lawful, truthful and substantiated in every target country; hold all rights in the trademarks, materials and content it supplies; and comply with all laws and platform rules applicable to its business. Delays caused by the Client extend deadlines accordingly and do not suspend payment.
7. Regulated sectors (crypto, fintech, financial services)
The Client is solely responsible for its regulatory status (licences, registrations, MiCA authorisation or white paper, local financial promotion rules, KYC/AML) and for the legality of promoting its products in each target country, including the UAE (VARA, SCA, CBUAE), the EU, the UK (FCA financial promotions regime) and the US. Aster reviews the regulatory framework with the Client and may require warnings, disclaimers, geo-restrictions or changes to content, or refuse or stop any campaign it considers non-compliant, without liability. Aster does not provide legal, financial or investment advice and does not promote products to persons under 18.
8. Talents and representatives
Talents are independent third parties; they are not employees, agents or subcontractors under Aster’s control. Aster selects and coordinates them with due care but cannot guarantee their behaviour, public statements, availability, health or the performance of their content. Talent contracts are concluded between the talent (or their representative) and Aster or the Client, as stated in the Proposal. If a talent withdraws, Aster will propose a replacement of comparable profile; this is the Client’s sole remedy. Platforms’ algorithms, reach, account suspensions or rule changes are outside Aster’s control.
9. Disclosure and advertising compliance
All sponsored content will be disclosed as advertising in accordance with applicable rules (e.g. #ad / paid partnership labels, French law of 9 June 2023 on commercial influence, UAE Media Council regulations, FTC guides, ASA/CAP code). The Client shall not request any content that conceals its commercial nature or contains misleading claims.
10. Approvals
Content submitted for approval is deemed approved if the Client does not respond within 2 business days. Each Proposal includes one round of revisions unless stated otherwise; further revisions may be billed. Talents keep editorial control over the tone of their content within the brief.
11. Non-circumvention and non-solicitation
For the duration of the contract and 12 months after its end, the Client shall not, directly or through a third party, contract, book or engage any talent or representative introduced or proposed by Aster for a similar service, without going through Aster. Any breach entitles Aster to a fixed indemnity equal to the greater of (i) 100% of the fees paid to the talent in breach of this clause or (ii) the Aster fee for the last campaign involving that talent, without prejudice to further damages. The Client shall not solicit Aster’s staff during the same period.
12. Intellectual property and usage rights
Aster’s strategies, concepts, methods, reports and documents remain the property of Aster; the Client receives a licence to use the deliverables for the campaign upon full payment. Content created by talents remains their property; usage rights granted to the Client (organic sharing, paid ads/whitelisting, duration, territories) are limited to those stated in the Proposal. Any extended use requires a written extension and may be billed. Aster may mention the Client’s name and logo as a reference unless the Client objects in writing.
13. Cancellation and postponement
Cancellation by the Client must be notified in writing. Unless otherwise stated: more than 30 days before the first scheduled publication, the deposit remains due; between 30 and 8 days, 75% of the total fee is due; less than 8 days, or after content production has started, 100% is due. Talent fees and third-party costs already committed are always due. A postponement requested by the Client is subject to talent availability and may incur additional costs.
14. Confidentiality
Each party shall keep confidential all non-public information received from the other (briefs, prices, talent fees, data, strategies) during the contract and for 3 years after, and use it only to perform the contract. Talent fees and contact details communicated by Aster are strictly confidential.
15. Limitation of liability
To the fullest extent permitted by law: Aster shall not be liable for any indirect or consequential loss, including loss of profit, revenue, sales, data, goodwill or opportunity; Aster’s total aggregate liability arising from or in connection with a contract, whatever the cause, is capped at the amount of Aster’s fees actually paid by the Client for the campaign concerned, excluding talent fees and third-party costs. Nothing limits liability for fraud or gross misconduct where such limitation is prohibited by law.
16. Indemnity
The Client shall indemnify and hold harmless Aster, its directors, staff and partners against any claim, fine, damage or cost (including reasonable legal fees) arising from the Client’s products, services, offers, claims, materials, regulatory non-compliance or breach of these Terms.
17. Force majeure
Neither party is liable for a failure caused by events beyond its reasonable control, including platform outages or rule changes, account suspension, government action, epidemics, conflicts, natural disasters, or the illness or death of a talent. Obligations are suspended for the duration of the event; if it lasts more than 30 days, either party may terminate, with fees for work performed remaining due.
18. Termination
Aster may suspend or terminate the contract with immediate effect by written notice if the Client fails to pay, breaches clauses 6, 7, 9 or 11, or acts in a way that may harm Aster’s or a talent’s reputation. Sums due for work performed and committed costs remain payable.
19. Data protection
Each party complies with applicable data protection laws. Where Aster processes personal data on behalf of the Client, a data processing agreement may be signed on request. See our Privacy policy.
20. Independence
Aster acts as an independent contractor. Nothing creates a partnership, joint venture, employment or agency relationship. Aster is independent of its partners, including 6ixBuzz TV.
21. Miscellaneous
If any clause is held invalid, the others remain in force. Failure to enforce a clause is not a waiver. The Proposal, these Terms and any annex form the entire agreement; in case of conflict, the Proposal prevails, then these Terms. Aster may amend these Terms for future contracts.
22. Governing law and disputes
These Terms and any contract are governed by the laws of the United Arab Emirates as applicable in the Emirate of Ras Al Khaimah. The parties shall first seek an amicable solution within 30 days of written notice. Failing that, any dispute shall be submitted to the exclusive jurisdiction of the competent courts of Ras Al Khaimah, United Arab Emirates.
23. Language
These Terms are available in English and French. In case of discrepancy, the English version prevails. Last update: October 12, 2026.
